Payment Terms:
100% payment is required and must be paid upon shipment of the goods.
Returns:
Please inspect all items of your received order immediately. Any defective item must be reported within 10 business days of shipment receipt. The retailer must send an email to hello@petswholesale.co.uk to report a fault or make a returns request. Items that leave the premises or have been shipped to a customer will not be accepted back for return.
Selling:
Authorised retailers are entitled to sell Zee.Dog & Paws Wholesale Ltd. products in the designated location listed on their Orderspace profile. The retailer agrees not to sell in any other physical location aside from the authorised location and not to resell or promote Zee.Dog & Paws Wholesale Ltd. products to unauthorised retailers in any other territory whatsoever. Failure to adhere to these terms entitles Paws Wholesale Ltd to terminate the retailer agreement immediately for serious breach.
Selling on Third Party Platforms:
We have partners in place on both Amazon and Ebay so are not looking for additional sellers on these platforms and are not approving any additional sellers for these platforms at this time. If you wish to sell via any 3rd party please request written permission from us as otherwise we may cease your account account access if we deem it necessary.
1. Interpretation
1.1 Definitions: In these Conditions, the following terms hold true:
- Business Day: Refers to a day (excluding Saturdays, Sundays, or public holidays) when banks in London are operational.
- Contract: Represents the agreement between Paws Wholesale Ltd and the Customer for the purchase and sale of Goods in accordance with these Conditions.
- Customer: Signifies the individual or entity acquiring Goods from Paws Wholesale Ltd.
- Force Majeure Event: As defined in clause 11.
- Goods: The products, or a portion thereof, that Paws Wholesale Ltd commits to selling to the Customer under these Conditions.
- Paws Wholesale Ltd: A company registered in England and Wales under company number 15079547.
- Order: The Customer's request to purchase goods.
1.2 Conditions: Within these Conditions, the following guidelines apply:
1.2.1 "Person" encompasses natural persons, corporate entities, or unincorporated bodies, regardless of legal status.
1.2.2 "Party" includes personal representatives, successors, or authorized assigns.
1.2.3 Reference to a statute or statutory provision includes its amended or re-enacted form. It also encompasses any subordinate legislation established under the statute or provision, subject to amendments or re-enactments.
1.2.4 Any term introduced by expressions like "including," "include," "in particular," or similar phrases is illustrative and does not restrict the meaning of preceding words.
1.2.5 "Writing" or "written" includes communication through faxes and email.
2. Basis of Contract:
2.1 These Conditions govern the Contract, superseding any contrary terms sought to be imposed or implied by trade, custom, practice, or course of dealing.
2.2 The Order constitutes an offer by the Customer to purchase Goods under these Conditions. The Customer is responsible for ensuring that Order terms are complete and accurate. Orders must meet Paws Wholesale Ltd's minimum order value as specified.
2.3 Acceptance of the Order occurs when Paws Wholesale Ltd issues a written acceptance, or if not issued, when Paws Wholesale Ltd delivers the Goods or receives payment (whichever is earlier), marking the formation of the Contract.
2.4 The Contract constitutes the entire agreement, and the Customer acknowledges reliance solely on Contract terms, disclaiming any reliance on statements, promises, representations, assurances, or warranties not contained in the Contract.
2.5 Samples, drawings, descriptive material, or advertising provided by Paws Wholesale Ltd serve solely to provide an approximate idea of the Goods but do not constitute part of the Contract.
3. Goods:
3.2 Paws Wholesale Ltd retains the right to modify Goods' specifications to comply with applicable statutory or regulatory requirements.
4. Delivery:
4.1 Delivery of Goods occurs at a location agreed upon in writing by Paws Wholesale Ltd or at Paws Wholesale Ltd's premises (Delivery Location) if no such agreement exists.
4.2 Delivery is completed upon the Goods' arrival at the Delivery Location.
4.3 Delivery dates are approximate, and delivery timing is not critical. Paws Wholesale Ltd is not liable for delivery delays resulting from Force Majeure Events, inadequate delivery instructions, or other relevant instructions from the Customer.
4.4 Paws Wholesale Ltd's liability for delivery failure is limited to refunding the price paid by the Customer, subject to Force Majeure Events or inadequate delivery instructions.
4.5 Failure by the Customer to accept delivery by the Attempted Delivery Time leads to deemed delivery completion, and Paws Wholesale Ltd will store Goods, charging the Customer for related costs.
4.6 If 10 Business Days elapse after notifying the Customer of Goods ready for delivery, Paws Wholesale Ltd may resell or dispose of the Goods.
4.7 Paws Wholesale Ltd may use instalments for delivery, each treated as a separate Contract.
4.8 Shortfall in delivered Goods does not entitle rejection; Paws Wholesale Ltd adjusts the invoice to account for undelivered items upon Customer notice.
4.9 Customer must report shortages within 5 Business days of Goods' arrival at the Delivery Location.
5. Quality:
5.1 Paws Wholesale Ltd warrants that Goods, upon delivery, will:
5.1.1 Match their description in all material aspects.
5.1.2 Be free from material defects.
5.2 The Customer may seek remedy by notifying Paws Wholesale Ltd within 10 working days of delivery, permitting inspection, and returning Goods at the Customer's cost, following which Paws Wholesale Ltd may repair, replace, or refund defective Goods.
5.3 Paws Wholesale Ltd is not liable for warranty breaches if the Customer continues using defective Goods after providing notice, fails to follow storage/use instructions, alters or repairs Goods without written consent, or if defects result from supplied drawings, designs, or specifications.
6. Title and Risk:
6.1 Risk transfers upon delivery completion.
6.2 Title to Goods remains with Paws Wholesale Ltd until full payment, after which title transfers to the Customer.
6.3 Until title passes, the Customer must store Goods separately, not alter identifying marks or packaging, maintain Goods, inform Paws Wholesale Ltd of listed events, and provide requested information.
7. Price and Payment:
7.1 Goods are priced according to Paws Wholesale Ltd's published list at delivery, unless otherwise agreed in writing.
7.2 Additional costs for packaging, insurance, and transport will be invoiced.
7.3 VAT is not included; the Customer must pay additional VAT upon receiving a valid VAT invoice.
7.4 100% of payment is required upon shipment of the order.
7.5 Failure to pay on time incurs interest at 4% per annum above the Bank of England's base rate, accruing daily.
7.6 Payment must be made in full without deduction or withholding.
8. Limitation of Liability:
8.1 Exceptions to liability are detailed, including personal injury, fraud, statutory terms, or unlawful exclusions.
8.2 Paws Wholesale Ltd is not liable for indirect or consequential losses and liability is capped at 100% of the Goods' price.
8.3 Statutory or common law warranties are excluded as far as legally possible.
9. Termination:
9.1 Paws Wholesale Ltd may terminate upon Customer material breach, insolvency, or financial instability.
9.2 Suspension of Goods may occur if the Customer meets events listed in clause 10.1.
10. Force Majeure:
10.1 Neither party is in breach due to events beyond control, allowing for reasonable performance extension. Termination is permitted after 12 weeks of continued delay.
11. General:
11.1 Assignment and dealings are permitted for Paws Wholesale Ltd,
but Customer's require written consent.
11.2 Notices are in writing, with deemed receipt upon delivery, post, courier, or one business day after email transmission.
11.3 Severance allows modification or deletion of invalid provisions, not affecting the Contract's validity.
11.4 Waiver, non-partnership, and non-agency clauses are detailed.
11.5 Third parties have no rights under the Contract.
11.6 Variations require written agreement, as specified.
11.7 Governing law is England and Wales, with exclusive jurisdiction in English courts.
